1. Introduction

1.1 Contract Agreement
These Terms of Service ("Terms") govern your access and use of CountRetail.ai, a service owned and operated by Jewellink LLC ("Jewellink," "we," "us," or "our"). By using CountRetail.ai, including its web application, APIs, computer vision systems, and any related services ("Services"), you agree to be bound by these Terms, our Privacy Policy, and any supplemental terms referenced herein. If you do not agree, do not access or use the Services.

1.2 Changes to the Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or within the platform. Continued use of the Services after such changes constitutes your agreement to the revised Terms.

 

2. Description of Services

CountRetail.ai provides retail analytics through:

  • Integration with Point-of-Sale (POS) systems;

  • Aggregated foot traffic and customer flow data;

  • Real-Time Streaming Protocol (RTSP) camera feed overlays using computer vision; and

  • Dashboards and reporting tools for actionable insights.

You understand and agree that the Services provide analytical tools and not business, financial, legal, or professional advice.

 

3. Eligibility and Registration

3.1 Eligibility
To use CountRetail.ai, you must be at least 18 years old and have the legal authority to enter into a binding agreement.

3.2 Account Registration
You agree to provide accurate, complete, and updated information when registering. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

 

4. Data Use and User Responsibilities

4.1 Data Integration and Processing
By using the Services, you authorize CountRetail.ai to ingest, analyze, and store POS data, traffic count data, and RTSP video feeds solely for the purposes of providing insights and analytics.

4.2 RTSP Feed Security and Compliance
RTSP feed security is the sole responsibility of the subscribing business and their IT personnel. You must implement adequate firewalls, encryption, and network safeguards to prevent unauthorized access. Jewellink LLC is not liable for breaches arising from insecure feed configurations or third-party access.

4.3 Legal Compliance and Consent
You are responsible for ensuring compliance with all applicable laws regarding video surveillance, biometric data processing, and customer privacy (e.g., CCPA, GDPR). By using CountRetail.ai, you confirm that you have obtained all necessary consents for video capture and analytics.

 

5. Rights and License

5.1 License Grant
You grant Jewellink LLC a non-exclusive, worldwide, royalty-free license to use the data submitted through the Services to operate, maintain, and improve the platform.

5.2 System Limitations
Jewellink does not warrant uninterrupted operation of the Services and disclaims all liability for temporary unavailability, data loss, or degradation of system performance.

5.3 Third-Party Integrations
The Services may rely on third-party systems (e.g., POS platforms, RTSP hardware). We are not responsible for inaccuracies, failures, or breaches originating from those systems.

 

6. Restrictions and Prohibited Use

You agree not to:

  • Use the Services for unlawful purposes;

  • Upload or transmit malicious code;

  • Reverse-engineer, copy, or duplicate the platform;

  • Use the Services to surveil individuals without their knowledge or consent.

We reserve the right to suspend or terminate access for violations at our sole discretion.

 

7. Indemnification

You agree to indemnify, defend, and hold harmless Jewellink LLC, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

  • Your use of the Services;

  • Violation of these Terms;

  • Failure to secure RTSP feeds;

  • Breach of privacy or surveillance laws.

 

8. Disclaimers and Limitations of Liability

8.1 No Warranty
The Services are provided "as is" and "as available." Jewellink disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or accuracy of analytics.

8.2 Liability Cap
To the extent permitted by law, our total liability for all claims under these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

8.3 Consequential Damages Waiver
We are not liable for any indirect, special, incidental, or consequential damages including data loss, business interruption, or loss of profits.

 

9. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Services ceases, and we may delete your account data. Certain sections (e.g., Indemnification, Limitations, Arbitration) shall survive termination.

 

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, United States. All disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association in Pulaski County, Arkansas. You waive any right to class actions or jury trials.

 

11. General Provisions

  • If any provision is found unenforceable, the remainder will remain in full force.

  • Our failure to enforce any provision is not a waiver.

  • These Terms constitute the entire agreement between you and Jewellink LLC.
